Terms of Service

1. Acceptance of Terms
By accessing and using NABA ("the Service", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms constitute a legally binding agreement between you and NABA. By creating an account or using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.
2. Service Description
NABA is a scheduling and event management platform designed specifically for bands, production teams, and event-based professionals. The Service provides:
- Event scheduling and calendar management
- Team and crew coordination
- Venue management and database
- Contact management
- Google Calendar integration (optional)
- Availability sharing and tracking
NABA is currently available by invitation only. Access to the Service may be expanded in the future at our discretion.
3. User Responsibilities
3.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use a strong, unique password for your NABA account
- Not share your account credentials with anyone
- Immediately notify us of any unauthorized access to your account
- Log out of your account when using shared or public computers
3.2 Accurate Information
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. We reserve the right to suspend or terminate accounts that contain false, misleading, or incomplete information.
3.3 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law or regulation
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
- To impersonate or attempt to impersonate NABA, a NABA employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
4. Google Calendar Integration
Important Notice
By connecting your Google Calendar to NABA, you consent to our access and use of your calendar data as described in these Terms and our Privacy Policy.
4.1 What We Access
When you connect your Google Calendar, NABA requests the following permissions:
- View calendar data: To display your existing events and calculate availability
- Create, modify, and delete events: To maintain two-way sync between NABA and Google Calendar
- View calendar settings: To respect your time zone and preferences
- View calendar list: To let you choose which calendar to sync with NABA
4.2 How We Use Calendar Data
NABA uses your Google Calendar data to:
- Display your availability when scheduling new events
- Automatically sync NABA events to your Google Calendar
- Update Google Calendar when you modify events in NABA
- Remove events from Google Calendar when deleted in NABA
4.3 Data Limitations
NABA's use of Google Calendar data is subject to the Google API Services User Data Policy, including the Limited Use requirements. Specifically:
- We only access the minimum calendar data necessary to provide the Service
- We do not use your calendar data for advertising purposes
- We do not share your calendar data with third parties except as described in our Privacy Policy
- Calendar data is encrypted at rest and in transit
4.4 Revoking Access
You may revoke NABA's access to your Google Calendar at any time by:
- Disconnecting Google Calendar in your NABA account settings, or
- Removing NABA's access through your Google Account permissions page
When you disconnect, NABA will stop accessing your calendar data immediately and will delete all stored calendar tokens and event mappings within 7 days.
5. Account Deletion & Data Policy
You may delete your NABA account at any time from your account settings. Account deletion is permanent and cannot be undone.
5.1 What Gets Deleted
When you delete your account, the following data is permanently removed:
- Your NABA account and profile information
- All contacts you created
- All teams you own or belong to
- All events you created
- All venues you created
- Your preferences and settings
- Your Google Calendar integration tokens
5.2 Google Calendar Events
Important: Your Choice Matters
When deleting your account, you will be asked whether you want to keep or delete events that NABA created in your Google Calendar.
You have two options:
- Keep events in Google Calendar (recommended): Events NABA created will remain in your calendar. You can delete them manually if needed. This preserves your historical event record.
- Delete all NABA-created events from Google Calendar: All events NABA created will be permanently removed from your Google Calendar. This action cannot be undone.
5.3 Data Retention
All your data is deleted within 7 days of account deletion. We may retain certain information if required by law or for legitimate business purposes (such as fraud prevention), but such information will be anonymized where possible.
6. Intellectual Property Rights
6.1 NABA's Intellectual Property
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Harmonic Productions LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as permitted by these Terms.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business purposes in accordance with these Terms.
7. User Content and Data Ownership
You retain all ownership rights to the data you input into NABA, including contacts, events, teams, venues, and other content ("User Content").
By using the Service, you grant NABA a limited license to use, store, and process your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your account.
You are solely responsible for the accuracy, quality, and legality of your User Content, and for obtaining any necessary permissions to use such content.
8. Prohibited Conduct
You agree not to:
- Use the Service in any way that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Service
- Attempt to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service
- Use any robot, spider, crawler, scraper, or other automated means to access the Service
- Attempt to probe, scan, or test the vulnerability of the Service or breach any security or authentication measures
- Use the Service to transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service
- Use the Service for any illegal or unauthorized purpose
9. Objectionable Content and Abusive Behavior
NABA has zero tolerance for objectionable content and for abusive behavior toward other users.
You are solely responsible for the content you create on NABA — including event names and descriptions, team and setlist names, notes, messages, and any photos you upload. You agree not to submit, share, or transmit content that is:
- Harassing, threatening, abusive, hateful, or intended to intimidate or demean another person
- Obscene, pornographic, or sexually explicit, or that depicts or promotes violence
- Discriminatory or that incites hatred against any individual or group
- Defamatory, deliberately false, or impersonating another person or organization
- Unlawful, or that promotes illegal activity or infringes anyone else’s rights
Reporting. Any content or user on NABA can be reported from the app using the Report action, or by emailing support@nabaflow.io. We review every report and act on objectionable content within 24 hours — which may include removing the content and suspending or terminating the account responsible.
Blocking. You can block any other user from their profile or from a member list. A blocked user cannot send you invitations or requests, and you can review or undo your blocks at any time in Settings.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the use of the Service will be accurate or reliable.
You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from such download.
NABA makes no warranty that the Service will meet your requirements or that it will be suitable for any particular purpose. You are solely responsible for determining whether the Service is suitable for your intended use.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NABA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, use, or goodwill
- Service interruptions or missed events due to system downtime
- Errors or omissions in any content
- Any damages arising from your use or inability to use the Service
This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if NABA has been advised of the possibility of such damage.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
12. Termination
11.1 Termination by You
You may terminate your account at any time by deleting your account through the Service settings. Upon termination, your right to use the Service will immediately cease.
11.2 Termination by NABA
We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe:
- Violates these Terms or our policies
- Is harmful to other users, NABA, or third parties
- Violates any applicable laws or regulations
- Exposes NABA or our users to legal liability or security risks
11.3 Effect of Termination
Upon termination, all licenses and rights granted to you in these Terms will immediately terminate. Sections that by their nature should survive termination will survive, including but not limited to intellectual property provisions, warranty disclaimers, and limitations of liability.
13. Dispute Resolution and Governing Law
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which NABA operates, without regard to its conflict of law principles.
12.2 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@nabaflow.io. We will attempt to resolve the dispute informally by contacting you via email.
12.3 Jurisdiction
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in [Your Jurisdiction], and the parties irrevocably consent to the personal jurisdiction and venue therein.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by:
- Posting the updated Terms on the Service
- Updating the "Last Updated" date
- Sending you an email notification (for significant changes)
Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.
